These Terms & Conditions (“Terms”) govern your use of the Leadyon affiliate network and all related services we provide. By creating an account or accessing the Leadyon platform, you agree to be bound by these Terms. If you do not accept them, you may not use our services.
Leadyon operates as a performance-based marketing network. We connect publishers, creators, and traffic sources (“Publishers”) with brands and advertisers (“Advertisers”) who wish to promote their products or services. These Terms apply to all parties who use our platform.
1. Introduction
These Terms form a legally binding agreement between you and Leadyon. They define the rules for accessing and using our website, dashboard, tracking system, APIs, and any tools or services we provide, whether you act as a Publisher, Advertiser, Creator, or general user.
You must read these Terms carefully. By continuing to use Leadyon, you acknowledge that you understand and accept all policies referenced here, including our Privacy Policy.
2. Definitions
For clarity, the following terms apply throughout this agreement:
- “Leadyon” refers to our affiliate network, systems, and services.
- “User” includes anyone using the platform, including Publishers, Advertisers, and Creators.
- “Publisher” means any individual or business promoting advertiser campaigns through permissible traffic sources.
- “Advertiser” means any individual or business offering campaigns, links, or promotional materials to be distributed via the network.
- “Service” refers to Leadyon’s website, technologies, tools, tracking system, offers, and resources.
- “Conversion” means an action defined by the Advertiser—such as a sale, lead, install, or form submission—tracked by the network.
- “Traffic” means visits, clicks, leads, or conversions delivered by Publishers.
- “Sub-ID” / “Tracking Parameters” refers to data appended to tracking links for reporting.
- “Fraud” includes invalid traffic, bots, fake leads, unauthorized promotion, or deceptive actions.
3. Account Registration & Eligibility
To use Leadyon:
- You must be at least 18 years old.
- All registration details must be accurate and complete.
- You agree not to create multiple accounts without written permission.
- You are responsible for safeguarding account credentials and all activity under your account.
Leadyon may refuse, review, or suspend any account at its sole discretion, especially if suspicious activity, invalid traffic, or incomplete information is detected.
4. Acceptable Use & User Conduct
You agree to use Leadyon lawfully and ethically. Prohibited activities include, but are not limited to:
- Generating fraudulent clicks, leads, installs, or conversions
- Using bots, scripts, automation, or fake user data
- Promoting campaigns through prohibited channels (e.g., adult, malware, illegal content) unless explicitly allowed
- Violating advertiser brand guidelines, intellectual property, or bidding restrictions
- Misleading users or failing to disclose affiliate links where required
- Manipulating tracking links or interfering with network systems
- Using stolen data, incentivized traffic (unless permitted), or deceptive advertising
Leadyon reserves the right to immediately suspend or terminate accounts involved in abusive or fraudulent behavior.
5. Publisher Obligations
Publishers agree to:
- Use only approved traffic sources
- Follow advertiser instructions and campaign restrictions
- Ensure landing pages or creatives do not contain misleading or harmful content
- Maintain compliance with applicable laws (FTC, GDPR, CAN-SPAM, privacy rules, etc.)
- Provide accurate financial and tax information for payouts
If a Publisher violates any rule, Leadyon may withhold payments, reverse conversions, or terminate the account.
6. Advertiser Obligations
Advertisers agree to:
- Provide accurate campaign details, restrictions, and payout terms
- Supply correct creatives, tracking links, and landing pages
- Review and approve or reject conversions fairly
- Pay invoices and fees on time
- Avoid offering unlawful or misleading promotions
Leadyon may suspend campaigns or reverse conversions if advertiser instructions are misleading or violate legal standards.
7. Commissions, Payments & Reversals
Commissions are earned when:
- The tracking system records the conversion, AND
- The Advertiser approves the conversion as valid.
Payment terms:
- Publishers receive payouts according to the schedule posted inside the dashboard.
- Minimum payout thresholds may apply.
- Payment methods may include bank transfer, PayPal, or other supported channels.
- Publishers are responsible for any transfer fees charged by payment providers.
Reversals:
Leadyon and Advertisers reserve the right to reverse conversions that are:
- Fraudulent
- Duplicated
- Cancelled or refunded by the customer
- Violating campaign rules
- Invalid due to technical or compliance issues
If reversals exceed account balance, future payouts may be withheld until the negative balance is cleared.
8. Tracking, Reporting & Attribution
Leadyon uses tracking links, cookies, click IDs, and server-to-server postbacks to measure performance.
- Tracking accuracy may depend on factors beyond our control, such as browser privacy settings, VPN usage, ad blockers, or device rules.
- Leadyon’s reporting system is the final authority on conversions unless a documented error is proven.
- Disputes must be reported immediately; delayed claims may not be accepted.
9. Intellectual Property
All platform content, including software, branding, text, graphics, and tools is owned by Leadyon.
Users may not:
- Copy or distribute our platform materials
- Reverse engineer, decompile, or modify our systems
- Use Leadyon branding or trademarks without permission
Advertiser creatives remain the property of the Advertiser unless otherwise agreed.
10. Suspension & Termination
Leadyon may suspend or permanently terminate accounts for reasons including:
- Fraud
- Misleading traffic
- Non-payment
- Abuse of platform tools
- Repeated policy violations
- Illegal or harmful activity
Upon termination, all licenses to use tracking links and promotional materials cease immediately.
Any unpaid or disputed earnings may be reviewed, adjusted, or withheld if fraud or violations are detected.
11. Disclaimers & Limitations of Liability
- Leadyon provides its platform “as is” and makes no guarantee of earnings, performance, availability, or uninterrupted service.
- We do not guarantee that tracking will work in every situation, as external factors may interfere.
- Leadyon is not responsible for damages arising from:
- Server outages
- Data loss
- Advertiser actions
- Third-party websites
- User errors or misuse
- Users agree to indemnify Leadyon from claims, losses, or damages resulting from their activity.
12. Privacy & Data Protection
Your use of the platform is also governed by the Leadyon Privacy Policy, which explains how we collect, use, and store personal and tracking data.
By using the Service, you acknowledge that you have read and understood our privacy practices.
13. Third-Party Links
Leadyon may contain links to advertiser websites or other external services.
We are not responsible for the content, security, or policies of third-party websites.
You use external sites at your own risk.
14. Modifications to Terms
We may update these Terms as needed. When changes occur, we may notify users through email or by posting an updated version on our website.
Continued use of the platform after changes means you accept the updated Terms.
15. Governing Law & Dispute Resolution
These Terms are governed by the laws of Australian Government.
Any dispute arising from the use of Leadyon may be resolved through:
- Direct negotiation
- Arbitration or mediation (if applicable)
- Court proceedings in the appropriate jurisdiction
Users agree that they will not bring class-action claims against Leadyon.
16. Miscellaneous
- Entire Agreement: These Terms constitute the complete agreement between you and Leadyon.
- Severability: If any clause is found invalid, the rest of the Terms remain in effect.
- Assignment: Leadyon may transfer its rights and obligations to another entity if required.
- Force Majeure: Leadyon is not responsible for delays or failures caused by events beyond our control, such as natural disasters, outages, or global incidents.
